Minimum Service Commitment: The Client agrees to maintain Orange County Digital’s website design, hosting, maintenance, SEO, and/or other applicable services for a minimum period of twelve (12) consecutive months beginning on the effective date of this Agreement. The Client may not terminate the services during this initial twelve-month period except as otherwise expressly provided in this Agreement.
Website Ownership: During the initial twelve-month service commitment, the website, including its design, development, underlying configuration, proprietary tools, templates, SEO implementation, and other website-related materials provided by Orange County Digital, shall remain the property of Orange County Digital and/or its applicable licensors. The Client is granted a limited, non-exclusive right to use the website for the Client’s business purposes while the Client remains current on all required payments and continues to maintain the services.
Upon successful completion of the initial twelve (12) month service commitment and provided that all amounts owed to Orange County Digital have been paid in full, ownership of the Client’s website and applicable website assets shall transfer to the Client, subject to any third-party software, plugins, licenses, stock images, fonts, hosting services, or other materials that cannot legally be transferred. Any such third-party materials shall remain subject to their respective license terms.
If the Client terminates the Agreement before completing the initial twelve-month commitment, or fails to make required payments, Orange County Digital shall have no obligation to transfer ownership of the website or its associated proprietary assets to the Client. Any transfer of the website before completion of the twelve-month commitment may be made solely at Orange County Digital’s discretion and may be subject to payment of any remaining contractual amounts and applicable transfer fees.
